Providing legal counsel on virtually all matters affecting the organization and operation of a firm's business activities, the Business and Commercial Practice Group works with a wide variety of business, insurance, lending and real estate companies. Working in conjunction with the other major practice areas at Plastiras & Terrizzi, the Group offers complete representation in a number of important areas, including contractual relationships, real estate, corporate finance, employment relations, product liability, tort claims, licensing and franchising, and acquisitions and divestitures. It also engages in civil litigation to enforce collection of both secured and unsecured obligations.

Analysis and Negotiation           

With extensive experience in most major areas of corporate business planning and advice, the Group handles both the analysis and negotiations associated with the formation of corporations, general and limited partnerships, joint ventures, and other business entities. The Group is involved equally in advising clients on matters relating to the reorganization of businesses through mergers, acquisitions, divestitures and sales of businesses. Moreover, it has substantial expertise in assisting clients with venture capital structure and transactions.

Consultation Services           

The Group regularly directs the preparation of corporate and partnership formation, capitalization, dissolution, and acquisition agreements. It manages public offerings of securities and related compliance issues. In addition, the Group oversees the legal framework for the establishment of distributorship, franchises, and other business entities, paying close attention to trademark and copyright matters.

In accordance with the Firm's commitment to preventative law, the Group works with clients to prevent small problems from developing into large and expensive litigation.  The Group also assists in the preparation of commercial documentation relating to the Uniform Commercial Code.
